Terms and Conditions
Welcome to our web development agency. By using our services, you agree to comply with and be bound by the following Terms and Conditions. Please read them carefully before using our website or engaging our services.
We provide web development services, including website design, website development, website maintenance, and related services. The scope of our Services will be outlined in a separate agreement or proposal, and may be subject to additional terms and conditions.
Payment terms and pricing for our Services will be detailed in the agreement or proposal provided to you. Unless otherwise specified, all fees are quoted in and must be paid in the currency specified in the agreement or proposal. Payments are due as outlined in the agreement or proposal, and late payments may incur additional fees or result in suspension or termination of Services.
Unless otherwise agreed upon in writing, all intellectual property rights, including copyrights, trademarks, and any other proprietary rights, in any deliverables, designs, or code created by us as part of the Services will be owned by us, and you will have a non-exclusive, non-transferable license to use the Deliverables for the specific purposes outlined in the agreement or proposal.
You are responsible for providing all necessary content, materials, and information for the Services, including text, images, logos, and other assets. You represent and warrant that you have the necessary rights and permissions to use, publish, and provide us with the content for use in the Services. We reserve the right to refuse or remove any content that is illegal, violates any third-party rights, or is deemed inappropriate at our discretion.
We will treat all information provided by you as confidential and will not disclose it to third parties, except as required by law or with your written consent. You agree to keep any confidential information provided by us, including proprietary methodologies, trade secrets, and other proprietary information, confidential and not disclose it to third parties.
We will make reasonable efforts to ensure the quality and functionality of the Services. However, we do not warrant that the Services will be error-free or uninterrupted, and we disclaim any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. In no event shall our liability for any claims arising out of the Services exceed the total amount paid by you for the Services in the six (6) months preceding the claim.
Either party may terminate the Services upon written notice if the other party breaches any material term or condition of the agreement or proposal. Termination will not relieve you of any payment obligations incurred prior to termination. Upon termination, any unpaid fees and intellectual property rights provisions of the agreement or proposal will survive.
You agree to indemnify, defend, and hold us harmless from and against any and all claims, liabilities, damages, losses, and expenses, including attorney's fees, arising out of or related to your use of the Services, your content, or any breach of these Terms and Conditions.
These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which our Agency is located. Any disputes arising out of or related to these Terms and Conditions or the Services shall be resolved exclusively in the courts of that jurisdiction.
We reserve the right to modify or update these Terms and Conditions at any time without notice. By continuing to use our Services after any changes to these Terms and Conditions, you agree to be bound by the revised Terms and Conditions.
These Terms and Conditions, along with any additional agreements or proposals provided by us, constitute the entire agreement between you and our Agency regarding the Services and supersede any prior agreements or understandings, whether written or verbal. Any modifications to these Terms and Conditions must be in writing and signed by both parties.
